SeeJay — Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of SeeJay, point-of-sale and online ordering software operated by Christian Ortiz, a sole proprietor based in San Jose, California ("SeeJay," "we," "us," "our").
By creating an account, using SeeJay, or placing an order through a shop that uses SeeJay, you agree to these Terms. If you do not agree, do not use SeeJay.

2. What SeeJay Is — and What It Isn't
SeeJay is software. We provide tools that let a small business owner ("Shop Owner") build a menu, set hours and pickup locations, accept orders from their customers ("Customers"), and take payment.
SeeJay is not a marketplace. SeeJay does not sell food, drinks, or any other goods. We are not a party to any transaction between a Shop Owner and a Customer.
When you buy a coffee through SeeJay, you are buying it from that shop — not from SeeJay. The Shop Owner is solely responsible for their products, their prices, their food safety, their licensing and permits, and their relationship with their customers.
3. Accounts
To use SeeJay as a Shop Owner, you must:
- Be at least 18 years old
- Provide accurate information and keep it current
- Keep your password confidential and be responsible for everything that happens under your account
- Notify us at support@seejaypos.com if you believe your account has been compromised
You are responsible for all activity under your account.
4. Payments
4.1 Payments Are Processed by Stripe
Card payments through SeeJay are processed by Stripe, Inc. To accept card payments, a Shop Owner must create and maintain a Stripe connected account and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Your use of Stripe is governed by Stripe's terms, not ours.
4.2 SeeJay Does Not Hold Your Money
Funds from card payments flow directly to the Shop Owner's Stripe account. SeeJay does not hold, control, or take a percentage of your sales. Stripe's processing fees are charged directly to the Shop Owner by Stripe.
4.3 Cash Payments
SeeJay allows Customers to place an order and pay cash at pickup. SeeJay has no involvement in cash transactions whatsoever. Collecting cash, providing change, and recording the sale are entirely between the Shop Owner and the Customer.
4.4 Refunds, Disputes, and Chargebacks
Refunds and order disputes are between the Customer and the Shop Owner. SeeJay does not issue refunds for goods sold by a shop and cannot mediate disputes about them.
Card refunds and chargebacks are handled through Stripe under Stripe's terms. Shop Owners are responsible for their own refund policy and for communicating it to their customers.
4.5 Subscription Fees
SeeJay may charge Shop Owners a recurring subscription fee for use of the software. Current pricing will be presented to you before you are charged. We may change pricing with at least 30 days' notice, and you may cancel before a price change takes effect.
5. Shop Owner Responsibilities
If you use SeeJay to run your business, you are responsible for:
- Legal compliance: obtaining and maintaining all permits, licenses, food handler certifications, and business registrations that your business requires. SeeJay's compliance information is provided for general guidance only and is not legal advice. Verify requirements with your local authorities.
- Your products: accuracy of menu items, prices, allergen and ingredient information, and food safety
- Fulfillment: delivering what your customers ordered
- Taxes: determining, collecting, and remitting any sales tax or other tax that applies to your sales, and reporting your income
- Your customers' data: using customer information appropriately and complying with privacy, anti-spam, and SMS consent laws
- Accurate information: keeping your hours, locations, and menu current
6. Acceptable Use
You may not use SeeJay to:
- Sell anything illegal, or anything prohibited by Stripe's Restricted Businesses list
- Defraud or mislead anyone
- Violate any law
- Interfere with, attack, or attempt to gain unauthorized access to SeeJay's systems, or to any other shop's data
- Copy, reverse engineer, resell, or create a derivative service from SeeJay
- Upload malware, or content that infringes someone else's rights
We may suspend or terminate an account that violates these rules.
7. Your Content
You keep ownership of everything you upload — your logo, menu photos, business name, and item descriptions ("Your Content").
You grant SeeJay a limited, non-exclusive license to host, store, and display Your Content solely for the purpose of operating SeeJay and displaying your shop page to your customers. We will not use Your Content for advertising or any other purpose without your permission.
You are responsible for having the right to use everything you upload.
8. Availability
We work to keep SeeJay running, but we do not guarantee that it will be available without interruption or free of errors. We may modify, suspend, or discontinue features. If we discontinue SeeJay entirely, we will give Shop Owners reasonable notice and an opportunity to export their data.
9. Disclaimers
SEEJAY IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that SeeJay will be uninterrupted, secure, or error-free, or that any defect will be corrected.
Compliance information provided in SeeJay is general guidance, not legal advice. It may be incomplete or out of date. Do not rely on it as your only source for permit or licensing requirements.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEJAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF SEEJAY.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR SEEJAY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
SeeJay is not liable for:
- Any dispute between a Shop Owner and a Customer
- The quality, safety, or legality of anything sold by a Shop Owner
- A Shop Owner's failure to fulfill an order
- Payment processing failures, delays, or losses caused by Stripe
- A Shop Owner's failure to obtain required permits or licenses
- Lost sales or lost data resulting from service interruptions
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
If you are a Shop Owner, you agree to indemnify and hold harmless SeeJay and Christian Ortiz from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of:
- Your use of SeeJay
- Your products and your business
- Your violation of these Terms or any law
- Any dispute between you and your customers
12. Termination
You may stop using SeeJay at any time and may close your account by emailing support@seejaypos.com.
We may suspend or terminate your account if you violate these Terms, if required by law, or if your account poses a risk to SeeJay or other users.
On termination, your right to use SeeJay ends. Sections 4.4, 5, 9, 10, 11, and 13 survive termination.
13. Disputes and Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
We would much rather solve a problem than fight about it. Before filing any formal claim, contact us at support@seejaypos.com and give us 30 days to try to resolve it.
Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms. If we make material changes, we will update the "Last Updated" date and notify Shop Owners by email or in the app at least 30 days before the changes take effect. Continued use after that means you accept the new Terms.
15. Miscellaneous
- Entire agreement: these Terms and the Privacy Policy are the complete agreement between you and SeeJay.
- Severability: if any part is found unenforceable, the rest stays in effect.
- No waiver: if we don't enforce a right, we haven't waived it.
- Assignment: you may not transfer your rights under these Terms. We may assign them in connection with a merger or sale of the business.
